Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Sysos platform and website provided by Sysos, Lda. (“Sysos”, “we”, “us”). By creating an account or using the service, you agree to these Terms.
1. Agreement
These Terms form a binding agreement between you (and the organisation you represent) and Sysos, Lda.. If you use the service on behalf of an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the service.
2. Accounts and eligibility
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old and legally able to enter into contracts.
3. Subscriptions, billing and taxes
Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Fees are exclusive of taxes, which you are responsible for. Subscriptions renew automatically for the same term unless cancelled before the renewal date.
You can cancel at any time; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law.
We may suspend or limit access to paid features for non-payment after reasonable notice.
4. Free trials
We may offer free trials. Unless you cancel before the trial ends, the plan may convert to a paid subscription at the then-current price. We may modify or withdraw trials at any time.
5. Acceptable use
You agree not to: use the service unlawfully or to infringe others’ rights; upload malware or attempt to breach security or tenant isolation; reverse engineer or resell the service except as permitted; send unlawful, abusive or spam content; or use the service to build a competing product.
6. Your data
As between the parties, you own the data you and your users submit (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the service.
Our processing of personal data within Customer Data is governed by our Data Processing Agreement, which is incorporated into these Terms. You are responsible for having a lawful basis to upload and process that data.
7. AI features
The service includes AI-assisted features. AI outputs are generated automatically, may be inaccurate or incomplete, and do not constitute professional, legal, financial, tax or employment advice. You are responsible for reviewing and validating AI outputs before relying on or acting on them.
8. Intellectual property
The Sysos platform, software, design and content (excluding Customer Data) are owned by Sysos, Lda. and its licensors and are protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the service during your subscription. Feedback you provide may be used by us without restriction.
9. Third-party services
The service may integrate with third-party services (for example email providers, carriers, marketplaces and payment providers). Your use of those services is subject to their own terms, and we are not responsible for them.
10. Availability and support
We aim to keep the service available and publish operational status on our status page. We may perform maintenance and may modify or discontinue features with reasonable notice. Support is provided in accordance with your plan.
11. Warranties and disclaimers
The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits, revenue or data. Our aggregate liability arising out of or relating to the service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
13. Indemnification
You will indemnify and hold us harmless from claims arising out of your Customer Data or your use of the service in breach of these Terms or applicable law.
14. Term, suspension and termination
These Terms apply while you use the service. We may suspend or terminate access for material breach, non-payment, or where required to protect the service or comply with law. You may terminate by cancelling your subscription and closing your account.
On termination you may export your Customer Data for a limited period, after which we may delete it in accordance with the DPA.
15. Changes to the service and Terms
We may update these Terms from time to time. Material changes will be notified through the service or by email and take effect as stated in the notice. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of Portugal, without regard to conflict-of-laws rules. The courts of Lisbon, Portugal have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
17. General
These Terms, together with the DPA and any order, are the entire agreement between the parties. If any provision is unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or sale.
